Terms and Conditions:

1. Buyer agrees to pay upon demand all reasonable collection costs and attorney's fees incurred in the collection of this account, or in the enforcement or interpretation of any term of this Invoice. Buyer agrees to pay interest at the rate of 1.5 percent per month or 18% per annum, to the previous month's balance before deducting current payments or credits, upon all delinquent accounts, or the highest rate permitted by law. Returned items, if permitted herein, must be shipped at buyer's expense and risk, and such returned items must be in their original undamaged shipping container, accompanied by a packing list and invoice. In no event shall any items be returned after 30 (thirty) days of delivery to buyer. "US" Parts are intended to meet the form, fit and function of the manufacturer's specifications; however, buyer agrees that its sole remedy if the "US" Parts do not meet such specifications are to return the goods within 30 days of delivery. Title to the goods shall not pass to buyer, title shall remain with Seller until the purchase price, and all other amounts due by buyer are paid in full. The execution, interpretation, and performance of this Invoice and any claims arising out of this Agreement shall be governed by and construed in accordance with the laws of the State of California without regard to the conflict of law provisions thereof. Buyer hereby consents to the jurisdiction of any state or federal court located within Orange County, California, waives personal service of process, and assents that service of process may be made by registered mail to the address specified on the front page of this Invoice. No returns will be accepted without prior authorization (RMA). We reserve the option to accept non-defective returns. Such returns can be subject to 15% restocking fee. All claims for shortage, damage or shipment errors must be made within 7 days after receipt of shipment. Our liability shall be limited to the invoice value of the materials or its replacement. We reserve the option to require that defective product returns be accompanied by a test report from an independent laboratory. On returns to our facility, no credit will be allowed for items damaged in transit or shipped to us in error. $25.00 FEE MINIMUM WILL BE CHARGED ON RETURNED CHECKS.
   
   
2. Terms of limited warranty
   With respect to products marked with the "US" prefix (hereinafter a "US" Part"), US Modular, LLC. warrants to the original customer purchasing such products directly from US Modular, LLC that all such products sold will be free from defects in materials and workmanship affecting form, fit and function. Any claim alleging that any product fails to conform to the foregoing warranty may be made only by the customer who purchased such product and only while such customer owns such product. US Modular, LLC at its option, will repair, replace, or provide a credit or refund of either the original purchase price or fair market value, whichever is lower, for any "US" Part covered by the Lifetime Limited Warranty that is determined by US Modular, LLC to be defective. US Modular, LLC reserves the right to substitute functionally equivalent new or serviceable used "US" Parts. The Lifetime Limited Warranty covers only defects arising under normal use and does not include malfunctions or failures resulting from misuse, abuse, neglect, alteration, problems with electrical power, usage not in accordance with product instructions, acts of nature or improper installation or repairs made by anyone other than US Modular, LLC. or a US Modular, LLC.-authorized third party service provider.

   With respect to Flash Memory Storage Card products, US Modular, LLC warrants that all such products sold will be free from defects in materials and workmanship affecting form, fit and function. Any claim alleging that any such product fails to conform to the foregoing warranty may be made only by the original customer who purchased such product and must be made within ten (10) years for Flash Cards and USB Flash Drives; one year for Monstor, QuikDisk+, enclosures and readers; and three (3) year for drives from the original date of shipment by US Modular, LLC. and US Moduar, LLC. shall have no liability thereafter. US Modular, LLC., at its option, will repair, replace, provide a credit or refund of either the original purchase price or fair market value, whichever is lower, for any Product that is determined by US Modular, LLC. to be defective. US Modular, LLC. reserves the right to substitute functionally equivalent new or serviceable used parts. This warranty covers only defects arising under normal use and does not include malfunctions or failures resulting from normal or excessive wear and tear, misuse, abuse, neglect, alteration, problems with electrical power, usage not in accordance with Product instructions, acts of nature or improper installation or repairs made by anyone other than US Modular, LLC. or a US Modular, LLC. authorized third-"US" Party service provider.

   UNDER NO CIRCUMSTANCES WILL US MODULAR, LLC., BE LIABLE IN ANY WAY TO ANY PURCHASER FOR ANY DAMAGES, INCLUDING BUT NOT LIMITED TO LOST REVENUE, LOST WAGES, OR ANY OTHER INCIDENTAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE OF OR INABILITY TO USE THIS PRODUCT. US Modular, LLC. reserves the right to make modifications in both hardware and software without prior notification.

• RMA numbers will be issued upon receipt of the completed RMA request form. Request forms must be returned to US Modular RMA/Customer Service Department with a copy of the original invoice. Fax# (949) 770.6422
• All RMA's must have the RMA number clearly marked on the outside of the shipping container. Please DO NOT write on the packaging of the product or it will be refused and returned without replacement or credit issued.
• All product must be returned in the original packing in which it was received and all labeling must be not be tampered.
• RMA numbers are valid for 15 business days from the date the RMA number has been issued. RMA numbers that are not received within 15 business days are automatically voided. Product sent to US Modular under a voided RMA will be refused!
• Merchandise, which has been physically damaged, is automatically a VOIDED WARRANTY.
• Product determined under warranty is based on the date of purchase on the invoice provided, not by the RMA return of replacement date.
• Should the RMA product be found in working condition after the conclusion of US Modular testing, the product will be returned to the customer.
• The RMA Request form must accompany the product being sent under warranty.
• US Modular, LLC reserves the right to replace product with an equivalent product.

Return Procedure: Please contact the place of purchase for return procedures. If customer purchased product(s) directly from US Modular, LLC, then customer shall return the product(s) to US Modular, LLC pursuant to the following terms. Customer must obtain a Return Material Authorization ("RMA") number by calling customer service at 1 (877) US Modul. Returned products should be shipped to the following address:

Customer shall return the products to US Modular in the original packaging and enveloped in the original antistatic bags. US Modular will not be responsible for damaged parts if customer does not follow this process. Please retain shipping information; including tracking numbers, until your account has been credited by US Modular or replacement product is received. If US Modular determines that failure of the product(s) was not a result of a defect in materials or workmanship, US Modular reserves the right to charge customer for parts and labor at US Modular's then current labor rate or charge customer a 20% restocking fee. US Modular will advise customer prior to assessing these charges.
